General Terms and Conditions

These Terms and Conditions apply to purchases from VerolynBoutique (verolynboutique.co.uk).

1. Introduction

1.1 These terms and conditions apply to the use of our website or the purchase of products offered through our website.

1.2 The defined terms and interpretations of these terms and conditions are set out in paragraph 26.

2. Acceptance

2.1 You represent and warrant that:
(a) you are a natural person and are at least 18 years old;
(b) you have the power to enter into a legally binding contract with us; and
(c) you are not prevented by any applicable law or treaty from entering into a legally binding contract with us.

2.2 We reserve the right to request written confirmation of your authority to accept these Terms.

2.3 You represent and warrant that you have not:
(a) been convicted of any computer or internet related offence; and
(b) previously been refused products or access to the Site by us.

2.4 We reserve the right to refuse you access to our Site if we consider such refusal necessary or appropriate.

2.5 Placing an order means:
(a) your confirmation that you have had the opportunity to read these Terms and Conditions;
(b) your offer to purchase the Order in accordance with these Terms and Conditions;
(c) your agreement that any Order Confirmation will be based on these Terms and Conditions; and
(d) your undertaking to us to comply with these Terms and Conditions.

2.6 If you do not agree to these Terms and Conditions, you must not use the Site or purchase any Products.

2.7 You must agree to these Terms and Conditions to:
(a) submit information to or through our website; or
(b) purchase a Product.

2.8 By visiting our website, purchasing Products or agreeing to these Terms and Conditions:
(a) you confirm that you have been informed about how we use your personal data in our Privacy Policy; and
(b) you accept and agree to comply with our Acceptable Use Policy (see paragraph 12 below for further details).

2.9 We recommend that you print or save a copy of these terms and conditions for future reference.

2.10 If you do not agree to these terms and conditions, you may not place an order.

3. Personal use

You confirm that you will use the Website to purchase Products solely for your own personal, non-commercial use as a consumer and not as a representative or on behalf of any other person.

4. Prices

4.1 The prices of the Products shown on our website are the total prices you pay and include all taxes. Free Standard Shipping is included. The only additional charge is the optional Priority Shipping fee of £3.95 if you choose it at checkout. No other fees or charges apply.

4.2 You will not be asked to pay any customs duties, import charges or clearance fees on delivery. Any such charges are paid by us.

4.3 We will do our best to ensure that all details, descriptions and prices of the products that appear on our site are correct. However, there may be instances where errors may occur. If we find that a pricing error has occurred, we will notify you as soon as possible and give you the opportunity to reconfirm your order at the correct price or cancel your order. If we are unable to contact you or do not receive a response from you, the order will be treated as cancelled and you will receive a full refund. If you choose to reconfirm your order, we will arrange delivery of your order and charge or refund the amounts set out in the notification we will send to you, using the same payment method you used to place your order.

4.4 We are not obliged to fulfil an Order if the price quoted on the Website is obviously and unmistakably incorrect and could reasonably have been recognised by you as a mispricing (even after you have received an Order Confirmation), in which case we will refund you in full.

4.5 Prices may be changed from time to time. However, such changes will not affect an order for which an order confirmation has been sent.

5. Placing an order

5.1 Once you have placed an order, all orders are subject to stock availability. If we have sufficient stock to fulfil your order, you will receive an order confirmation which will be deemed to be our confirmation of receipt of your order. In the event of delivery difficulties or unavailability of stock to fulfil your order, we will inform you by email and refund any payments made for the order in full.

5.2 A contract is only concluded if we have issued you with an Order Confirmation and only in respect of the Product(s) listed in the Order Confirmation. These general terms and conditions of sale form an integral part of the contract.

5.3 If your order consists of more than one Product, the Products may be delivered to you in separate deliveries at separate times, at no extra cost to you.

5.4 We reserve the right to remove Products from the Site at any time. We also reserve the right to edit or remove any material or content from the Site. This does not affect orders for which we have already sent an Order Confirmation.

5.5 We reserve the right to refuse or reject any order placed by you for a valid reason, for example where a product is unavailable, there is an obvious pricing error, or we suspect fraud (even after sending an order confirmation).

5.6 If we cancel your order after we have received payment (and even after we have sent an Order Confirmation), the payment for the order will be refunded to you in full.

6. Payment

6.1 You can pay for the Products using any of the payment methods listed on our website.

6.2 You may also pay for all or part of your order using a promotional voucher that we make available to you. Promotional vouchers can only be redeemed online at the checkout.

6.3 We use payment intermediaries to process payments between you and us. You agree that we may pass documents and information about you to these payment intermediaries, including documents and information containing your personal data, as described in our Privacy Policy.

6.4 We are not a regulated payment processor or money service provider. We are not responsible for payment failures caused by payment intermediaries, but we will help you resolve any problem with a payment for your order.

6.5 You are responsible for providing complete and accurate information during the payment process and all payments must be made with your own funds. By placing an order, you confirm that:
(a) the method of payment used for payment is yours;
(b) where applicable, you are the rightful holder of the promotional voucher; and
(c) you have sufficient funds or credit capacity to pay for the relevant order.

6.6 We are entitled to inform all relevant authorities (including credit reference agencies) of any fraudulent payments or other illegal activity.

6.7 If you have a problem with your order or a payment, please contact us first at info@verolynboutique.co.uk so that we can resolve it quickly. This does not affect your right to request a chargeback or refund from your card issuer or payment provider.

6.8 Where a payment is reversed as a result of fraud or a chargeback made in bad faith (for example, for an order that was delivered and not returned), we may recover the amount due and any reasonable costs we incur as a result.

7. Delivery

7.1 We will deliver your order to the delivery address given at the time of ordering.

7.2 We will indicate an expected delivery period at the time of checkout of your order.

7.3 We will notify you if we are unable to meet the estimated delivery period. If we do not deliver within the agreed period, or, if none was agreed, within 30 days of the contract being concluded, you have the rights set out in the Consumer Rights Act 2015, including the right to cancel and receive a full refund. We are not liable for delays caused by events outside our control (see paragraph 19), but your statutory rights are not affected.

7.4 We may not be able to deliver Products to certain locations. In this case, we will inform you and arrange to cancel and refund the order or deliver the order to an alternative delivery address confirmed by you.

7.5 All risk in the product passes to you on delivery to the delivery address (or to a person nominated by you), unless delivery is delayed due to a breach of your obligations under these terms and conditions, in which case risk passes at the time delivery would have taken place had you not breached them.

7.6 If you are unable to accept delivery or collection of your order, the carrier may leave a card giving you instructions for redelivery or collection.

7.7 If delivery or collection is delayed by your unreasonable refusal to accept delivery, or if you do not accept delivery or collect your order from the carrier, we may charge you for the reasonable costs we incur in returning the order to the sender, without prejudice to any other rights or remedies available to us. This does not apply if you refuse delivery in order to exercise your statutory right to cancel.

7.8 Orders are processed within 1–3 working days of confirmed receipt of payment. The standard delivery time after dispatch is 3–8 working days, so that total delivery times are usually 5–11 working days, unless otherwise stated in the item description. Orders are shipped to you by our fulfilment partner. Where an order is delivered in several parts, each part is shipped as soon as it is available.

7.9 You will not be asked to pay any customs duties, import charges, clearance fees or other charges on delivery. All such charges relating to the delivery of the Products to your UK delivery address are paid by us.

7.10 Priority Shipping.
(a) At checkout you can choose Priority Shipping for a fee of £3.95 per order.
(b) If you choose Priority Shipping, your order is given priority by our team: it is processed and passed on to our fulfilment partner before orders with Free Standard Shipping that were placed at the same time or earlier and have not yet been processed. Your order is therefore the first to leave our hands.
(c) Priority Shipping relates to the handling of your order by our team. The subsequent dispatch by our fulfilment partner and the transit time of the courier are outside our direct control. Priority Shipping is therefore not a guarantee of a specific dispatch or delivery date, and the estimated delivery times in paragraph 7.8 continue to apply.
(d) If we fail to process your order with priority as described in paragraph 7.10(b), we will refund the Priority Shipping fee of £3.95 to you on request.
(e) If you cancel your order or return it because you changed your mind, the Priority Shipping fee is not refunded, as it is a supplementary charge above our standard (free) delivery option. If the Product is faulty, damaged or incorrect, the Priority Shipping fee is refunded in full.
(f) Nothing in this paragraph 7.10 affects your statutory rights.

8. Cancellation or modification of orders

8.1 Once an order has been placed on our website, you can cancel or amend it by sending us an email at info@verolynboutique.co.uk.

8.2 Once an order has been dispatched, it cannot be changed or stopped in transit. In that case, you can still cancel your order under your statutory right to cancel (paragraph 10): please wait until you receive the goods (or refuse delivery) and send them back to us in accordance with paragraph 10 below. You can of course inform us of your cancellation in advance. We will refund you no later than 14 days after we receive the goods back or you provide evidence that you have sent them back, whichever is earlier.

8.3 As we work with an automated ordering system, orders are passed to our fulfilment partner shortly after they are placed. If you cancel before your order has been dispatched, we will refund you in full within 14 days of you informing us of your cancellation. If your order has not arrived within 15 business days, please contact us; if it is confirmed lost, we will send a replacement or refund you in full, at your choice.

9. Defective products

9.1 You acknowledge that the Products are standard products and are not custom-made to meet your particular requirements.

9.2 We take care that all product descriptions, information and materials on the Website are accurate. The Products must match their description.

9.3 Illustrations of products may differ slightly from the actual product you receive, for example due to the colour settings of your screen. This does not affect your rights if the Product does not match its description.

9.4 If the product you receive is faulty, you can send us an email informing us of the product and attaching a photograph of the faulty product.

9.5 Where a return is needed, we will arrange it at our cost in accordance with paragraph 10 and our Return Policy.

9.6 We will examine the product as soon as we receive it or the photographs, and keep you informed by email.

9.7 We will inform you by email of the outcome of our assessment.

9.8 Under the Consumer Rights Act 2015, goods must be of satisfactory quality, fit for purpose and as described. If a Product is faulty or not as described:
(a) within 30 days of delivery you can reject it and receive a full refund, including the delivery costs you paid and the costs of returning the Product to us;
(b) after 30 days, or if you prefer, you can ask us to repair or replace it at no cost to you, in which case we will deliver a replacement Product to you at the delivery address; and
(c) if a repair or replacement is not possible or fails, you can request a price reduction or a refund.
We will pay any refund into the account from which we received the payment, using the same method of payment.

9.9 If, after examination, we reasonably determine that the Product is not faulty and the damage was caused by misuse or by you, we will explain our reasons to you. In that case your request will be treated as a change-of-mind return under paragraph 10 where it is still within the return period. This does not affect your statutory rights.

10. Returns and refunds

10.1 Our Return Policy forms part of these Terms and Conditions of Sale.

10.2 Statutory right to cancel: you may cancel your contract within 14 days from the day on which you, or a third party other than the carrier indicated by you, received the last product of your order, without giving any reason. In addition to this statutory right, we offer an extended voluntary return period: if you are not completely satisfied with your order, you can send us an email informing us of the product to be returned and send it back to us within 30 days from the date on which you, or a third party other than the carrier and nominated by you, took or received possession of the last product.

10.3 For change-of-mind returns, the direct cost of returning the product is paid by the customer. Returns of faulty, damaged or incorrect products are free of charge.

10.4 We will refund you no later than 14 days after we receive the product back or you provide evidence that you have sent it back, whichever is earlier. We will check the returned product on arrival.

10.5 You must ensure that the product is sent to us in the same condition in which you received it and that it is properly packaged. The product must be unused, the product labels must not have been removed and the product should be in its original packaging. If the value of a returned product has been reduced because it has been handled more than necessary to establish its nature, characteristics and functioning, we may reduce your refund accordingly. For our extended voluntary return period (days 15 to 30), we may refuse returns that are not in their original, unused condition.

10.6 We aim to process returns within 3 business days of receipt.

10.7 Once we have checked the product you are returning, we will send you an email confirming your return. The refund will be issued promptly to the payment method used for the order, and in any event within the time limit set out in paragraph 10.4.

10.8 We may withhold the refund until we have received the goods back or you have supplied evidence of having sent them back, whichever is earlier.

10.9 As our goods are sent from international warehouses, delivery times may be longer than for domestic shipments. If the goods are already on their way to you, they cannot be stopped in transit, but you can still cancel: please wait until you have received the goods (or refuse delivery) and send them back to us. You can of course inform us of your cancellation in advance. Please send us proof of postage so that we can refund you as quickly as possible.

11. Vouchers

11.1 You can use our promotional vouchers or discounts when you make payment for products on the website.

11.2 To use a voucher or discount, the voucher or discount code must be entered on the checkout page of our website.

11.3 Once the voucher or discount code has been entered and applied, the voucher or discount will be deducted from the total amount of your order at checkout.

11.4 You may only redeem or use one promotional voucher or discount code per order. Automatic discounts shown on our website (such as multi-buy discounts) may apply in addition, where stated.

11.5 The credit from a Promotional Voucher does not bear interest and has no cash value.

11.6 If the credit on a promotional voucher is insufficient for your order, you may pay the difference using a separate payment method available on the site.

11.7 If you use a promotional voucher for an order that is returned, the refund will be calculated on the amount you actually paid. The value of a free promotional voucher will not be refunded in cash.

12. Permitted use

12.1 You may not ("Prohibited Actions"):
(a) use our website in any way or take any action that causes or may cause damage to the website or impairment of the performance, availability or accessibility of the website;

12.3 You undertake to notify us as soon as possible after becoming aware of any person engaging in a Prohibited Action, and to give us reasonable assistance in any investigation we may carry out on the basis of the information you provide to us.

12.4 You must ensure that any information you provide to us through our Site or in connection with our Site or the Products:
(a) is true, accurate, current and complete and not misleading;

12.6 You must comply with all applicable laws relating to your use of the Website.

12.7 Please email us if you become aware of any material or activity on our website that does not comply with these terms and conditions.

13. Links to and from the Website

13.1 Links from our site to other sites and resources provided by third parties are provided for information purposes only. Such links should not be taken as a recommendation or endorsement by us of those linked sites or resources or the information you obtain from them.

13.2 You acknowledge and agree that we have no control over the content of other sites and resources linked to our site or referred to on our site.

13.3 You may link to our home page provided that you do so in a fair and legal manner and do not damage our reputation or take advantage of it.

13.4 You must not establish a link in a way that suggests any form of association, authorisation or approval on our part where none exists.

13.5 You must not create a link to our website on a website that you do not own or are not authorised to edit.

13.6 You may not embed our website in frames on another website.

13.7 We reserve the right to withdraw permission to link without notice.

13.8 The website from which you link must comply in all respects with the content standards set out in our acceptable use policy (see paragraph 12 above).

13.9 Please contact us for prior approval of any link to our website that does not comply with this paragraph 13.

14. Intellectual property rights

14.1 The code, structure and organisation of the Website are protected by intellectual property rights.

14.2 We are the owner or licensee of all intellectual property rights in our website and the content and materials published on it. These works are protected by laws and treaties throughout the world. All such rights are reserved.

14.3 You may only use the Website and all of its content for your own personal, non-commercial use and in accordance with these terms and conditions. The content of the Website includes content relating to the Products.

14.4 Please inform us of any suspected infringement of our intellectual property rights.

14.5 You may not use our trade marks without our prior written consent, except as permitted under paragraph 13.

15. Data protection

15.1 Our Privacy Policy explains how we use your personal data and forms part of the information we provide to you.

15.2 We use cookies on our website. Strictly necessary cookies are used to run the website; all other cookies are only used with your consent, given via our cookie banner. For more information on cookies, please see our Cookie Statement.

15.3 If you provide us with your personal data, we will process such personal data in accordance with our Privacy Policy and the UK GDPR, and will take appropriate security measures to protect such personal data against unauthorised and unlawful processing and against accidental loss, destruction or damage.

15.4 Information and documents generated in connection with the sale of the Products may be accessible in electronic form to those of our employees, officers, consultants or agents who need them to perform their duties, subject to confidentiality obligations.

16. Viruses

16.1 We do not guarantee that our website will be secure or free from errors or viruses, although we take reasonable steps to protect it.

16.2 You are responsible for configuring your information technology, computer programs and platform to access our website. You should use your own anti-virus software.

16.3 You must not misuse our website by knowingly introducing viruses, Trojan horses, worms, logic bombs or any other malicious or technologically harmful material.

16.4 You must not attempt to gain unauthorised access to our website, the server on which our website is stored or any server, computer or database connected to our website.

16.5 You must not attack our website by means of a denial of service attack or a distributed denial of service attack.

16.6 If you breach this paragraph 16, your right to use our website will cease immediately. We may report any breach to the relevant law enforcement authorities and will do so if required by applicable law.

17. Liability

17.1 If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or our failure to use reasonable care and skill. Subject to paragraph 17.13, we are not responsible for loss or damage that is not foreseeable, nor for loss suffered by you as a result of:
(a) third-party or user content;
(b) your reliance on general information on our website that does not form part of the description of a Product you purchased;
(c) the inability to access the Site or any part of it, or the Site being unavailable or partially available or operating with errors at any time; and
(d) any failure or delay in the performance of our obligations caused by any circumstance beyond our reasonable control, including telecommunications failures, power failures, acts of terrorism, fuel strikes, inclement weather, computer breakdowns, supplier delivery failures, industrial disputes and absence of personnel due to illness or injury, in which case the time for performance of the affected obligation shall be extended accordingly (see also paragraph 19).

17.2 We only supply the Products for domestic and private use. We are not liable to you for any loss of profit, loss of business, business interruption or loss of business opportunity.

17.3 Except as set out in paragraph 17.13, our total liability to you in connection with an order is limited to the total price paid for that order plus any foreseeable losses caused by our breach.

17.4 Nothing in these Terms limits the time within which you may bring a claim under the law of the United Kingdom.

17.5 Except to the extent that claims cannot be excluded or limited by law, claims should be made against us and not personally against any of our employees, officers, consultants or other agents.

17.6 Nothing in these Terms excludes or limits the statutory rights and implied terms that apply to your purchase under the Consumer Rights Act 2015, including that the Products must be of satisfactory quality, fit for purpose and as described.

17.7 A series of related acts or omissions, or the same act or omission in a series of related matters, is treated as a single act or omission for the purposes of this paragraph 17.

17.8 The limitations in this paragraph 17 apply to our aggregate liability in respect of the same loss.

17.9 Where a Product is shipped to you by one of our fulfilment partners, we remain responsible to you for that Product under these Terms and your statutory rights.

17.10 If we are jointly liable to you with another party, we are only liable to pay you that part which is reasonably attributable to our fault, to the extent permitted by law.

17.11 Any liability we may have to you may be reduced by the part for which another party is liable, where the law allows, including under the Civil Liability (Contribution) Act 1978.

17.12 Nothing in paragraphs 17.10 and 17.11 limits your right to claim from us any amount for which we are responsible under the law of the United Kingdom.

17.13 Nothing in these Terms and Conditions excludes or limits our liability:
(a) for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors;
(b) for fraud or fraudulent misrepresentation;
(c) for breach of your statutory rights in relation to the Products, including the rights described in paragraph 17.6;
(d) for defective products under the Consumer Protection Act 1987; and
(e) for any other liability which cannot be excluded or limited under the law of the United Kingdom.

17.14 This paragraph 17 does not affect any remedy available to you under the law of the United Kingdom.

18. Indemnification

18.1 You will be responsible to us for reasonably foreseeable claims, costs and losses which we suffer and which arise out of:
(a) a material breach by you of the provisions of these Terms and Conditions;
(b) any fraud or deliberate misconduct by you; and
(c) your misuse of our website in breach of paragraphs 12 or 16.

18.2 We shall be entitled to claim from you reimbursement of the costs reasonably incurred by us in connection with such a claim.

19. Force majeure event

19.1 We are not responsible for delays or failures outside our reasonable control ("Force Majeure Event"). If a Force Majeure Event lasts for more than one week, either you or we may cancel the affected order by written notice, and we will refund you in full for any Product you have already paid for and not received.

19.2 During a Force Majeure Event we will take reasonable steps to minimise the delay and keep you informed.

20. Variations

20.1 We may change these Terms and Conditions from time to time. The terms that apply to your order are those in force at the time you placed it. We will notify you in advance of any material changes that may affect you.

20.2 If you do not agree to the amended terms and conditions, you must stop using our website or purchasing our products.

20.3 Changes will not apply to orders for which we have already sent an Order Confirmation.

21. Your breach

21.1 Without prejudice to our other rights under these Terms, if you breach these Terms in a material way, or if we have reasonable grounds to suspect that you have done so, we may:
(a) send you one or more formal warnings;
(b) temporarily block your access to our website;
(c) suspend the processing of any order (in which case we will refund any payment for an order we do not fulfil);
(d) refuse to accept any payment from you;
(e) permanently bar you from accessing our website;
(f) block access to our website from computers using your IP address;
(g) contact your Internet service provider(s) and request that they block your access to our website; or
(h) take legal action against you, whether for breach of contract or otherwise.

21.2 If we suspend, ban or block your access to our site or any part of our site, you must not take any steps to circumvent such suspension, ban or block.

22. Termination and suspension

22.1 You may cease using the Site at any time.

22.2 We may suspend the provision of the Site at any time, for example for maintenance or commercial reasons.

22.3 Without prejudice to paragraph 22.2, we may suspend or terminate your access to the Site if your use of the Site is likely to give rise to legal liability of any kind or to disrupt the use of the Site by others.

22.4 If we suspend or terminate your access to the Site, we will endeavour to notify you in advance. However, where this is reasonably necessary, we may suspend or terminate your access to the Site immediately and without notice.

22.5 We do not guarantee that our website will always be available or that it will be available without interruption. We may interrupt, suspend, withdraw or restrict the availability of all or part of our website for commercial or operational reasons. We will endeavour to give you reasonable notice of any such suspension or withdrawal. This does not affect orders already confirmed or your statutory rights.

23. Effect of termination

23.1 Termination of your use of the Site does not affect our obligations in respect of orders already confirmed, including customer service and your statutory rights for those orders.

23.2 Termination of these terms and conditions does not entitle either party to compensation for loss of goodwill, except where the law provides otherwise.

23.3 Termination of these terms and conditions shall not affect any rights which have already arisen and shall not affect any provisions of these terms and conditions which, in accordance with their terms, are intended to continue to apply. Paragraphs 17 (Liability) and 18 (Indemnification) shall also apply after termination of these terms and conditions.

24. General provisions

24.1 You may not assign any of your rights under these terms and conditions without our consent. We may transfer our rights and obligations to another organisation; if we do, we will tell you and your rights will not be affected.

24.2 The rights, powers and remedies provided by these Terms and Conditions are (unless expressly provided) cumulative and not exclusive of any rights, powers and remedies provided by law.

24.3 We subcontract the hosting of the Website to a third party.

24.4 If any provision of these terms and conditions is found to be invalid or unenforceable, that provision will apply to the maximum extent permitted by law, and the remaining provisions will continue in full force.

24.5 The failure to exercise or delay in exercising any right, power or remedy under these Terms or by law shall not constitute a waiver of such right, power or remedy. If we waive a breach of any provision of these Terms and Conditions, it will not be deemed to be a waiver of any subsequent breach of that provision or a waiver of any other breach.

24.6 The exercise of the parties' rights under these Terms and Conditions is not conditional on the agreement of any third party.

24.7 These Terms and Conditions are for our benefit and yours and are not intended to benefit or be enforced by any third party.

25. Applicable law and disputes

25.1 These Terms and Conditions are governed by the law of England and Wales. If you live in Scotland or Northern Ireland, you can also bring proceedings in the courts of your home country, and you keep the protection of the mandatory consumer law of the part of the United Kingdom where you live.

25.2 If you have a complaint, please contact us first at info@verolynboutique.co.uk and we will do our best to resolve it. We do not currently use an alternative dispute resolution (ADR) provider. You can also contact Citizens Advice (www.citizensadvice.org.uk) for free advice about your rights.
